…………….. hereinafter referred as the FOUNDERS of the ONE PART.

THE RULING DISTRICT  GOVERNORSTeam and all Present and Future PDGs (Past District Governors) of District 322 C2 or nominated Trustee, hereinafter collectively referred to as TRUSTEES ( which expression shall unless excluded by or repugnant to the context be deemed to include as TRUSTEES.

The FOUNDERSboth hereby resolve to create a TRUST with the aforesaid TRUSTEES for the objects hereinafter mentioned for the benefit of General Public and each of the Founder Member both settle a sum of Rs. 5,100/- (Rupees Five Thousand One Hundred Only) from their individual resources in total Rs. 35,700/- (Rupees Thirty FiveThousands Seven Hundred Only) to create a TRUST.

AND WHEREAS the TRUSTEES named above have agreed to act as TRUSTEES till they continue to be a member of a Constituent Lions Clubs in the District 322 C2, a member of Lions Clubs International.

Now THIS INDENTURE WITNESSETH as follows:-

In pursuance of the said resolution and for the promotion of different social, philanthropic and public charitable objects as hereinafter mentioned the founders do hereby settle/Transfer/Assign and make ever unto the Trustees the said sum of Rs. 35,700/- (Rupees Thirty Five Thousands Seven Hundred Only) and amount received. (thereaftertowards the formation of the District Foundation Fund of Lions District 322 C2

N A M E

1. The name of the Trust shall be ODLION FOUNDATION TRUST.

O B J E C T S

2. The objects for which the TRUSTFUND is established and the Trust is settled are as follows :-

(a)   To make grants to the applicant lions club for fighting against all natural calamities, like flood, draught, earthquakes, cyclone and other natural exigencies:

(b)   And to grant Medical Help, Educational Help, Housing Grants to the poor and other deserving needy persons during Epidemics, Famine, Flood or any unforeseen calamity, or, war or war like situation or operations. And to grant all type of helps to the poor and needy persons.

(c)   To make grants to the applicant Lions Club for Developmental Humanitarian, Social, Educational, Medical, Rural Development, Conservation of natural resources and afforestation and all other type service project, for the benefit of General Public.

(d)   To make proportionate subsidy grants for any service, projects of an applicant Lions Club for any service Project sponsored by the District as the District Projects for which an application is made for subsidy grants from Lions Clubs International Foundation hereinafter referred to ‘LCIF’.

(e)   To assist any Lions Club for any other purpose/s for the benefit of the Society and General Public as may be decided by the Board of Managing Trustees provided the purpose does not stand to contradiction with any object of the Lions Clubs International and Social and Charitable objects of this Foundation Trust.

MANAGEMENT AND POWERS:-

3. There shall be a Board of Trustee as aforesaid which shall include all future District Governors of District 322 C2 becoming Past District Governors of District 322 C2, ruling District Governor which shall guide/supervise the Trust Fund headed by Chairman. The immediate Past District Governor of District322 C2 shall be the Ex – officio Chairman of the Trust. In absence of IPDG the Trustees may nominate one amongst the PDG to become the Chairman. There shall also be a Board of Managing Trustee, Consisting of seven persons which shall comprise Chairman of the Board of Managing Trust, District Governor Team, District Chairman LCIF and Dist. Foundation, one past District Governor nominated by District Governor, Cabinet Secretary of District 322 C2 and two life Member of the ODLION Foundation Trust to be nominated by the District Governor.

4. The present Trustees shall be TRUSTEES which shall include all Future& Past District Governors of District 322 C2andruling District Governor Team. At the beginning of each Lionistic Year i.e. on 1st July each year the Imm. Past District Governor, District Governor Team, District Chairman of LCIF and District Foundation, one past District Governor nominated by the District Governor and two life members of District Foundation nominated by the District Governor for the year, shall be appointed as Board of Managing Trustees for the respective Lionistic Year for day-to-day smooth function of the Trust for that Lionistic year.

5. The District Governor shall be the convenor and Cabinet Secretary shall be the Honorary Secretary of the Managing Trustee and shall hold office till the end of respective Lionistic Year. Chairman shall be convenor of the Board of Trustee.

6. A person shall cease to be Trustee in any of the following events :-

(a)   If he/she dies.

(b)   If he/she without leave of absence of the Board Trustees does not attend three consecutive meetings of the Board,

(c)   If he/she becomes insolvent.

(d)   If he, she becomes insane or otherwise incapable to act;

(e)   If he/she cease to be a member of any constituent Lions Clubs for District 322 C2.

(f)    If he/she leaves his office.

(g)   If he/she goes permanently to reside out of India.

7.    (a)  In the event of the Chairman of the Board of Managing Trustees or Board of Trustees, vacating his office for any reason stated above, the members of Board of Trustee may appoint Chairman amongst the Trustees. Who shall hold office tillthe end of the respective Lionistic Year.

(b)  If any other Trustees ceases to be a trustee for reasons stated in clause 6  hereinbefore that the person nominated to the office, held by the said trustee shall be appointed as a Trustee till the end of the respective Lionistic Year.

8. The following are the powers of the Board of the Managing Trustees :

(a)   That the Board of the Managing Trustees shall be in day to day manageone of the affairs of the trustee for each Lionistic Year beginning with 1st July and end with 30th June.

(b)   That the Board of Managing Trustees shall make necessary efforts to raise fund for the Trust as detailed hereinafter in Clause 11.

(c)   That the Board of the Managing Trustees shall be fully empowered to receive donation, grant, contribution, fund and any other subscription towards the corpus of the Trust including voluntary contribution and aid for its objects and to disburse necessary fund, grant to any applicant Lions Club on the terms and conditions as may be decided by them from time to time.

(d)   That the Board of Managing Trustees are empowered to appoint or dismiss employees as also to determine the terms and conditions of the service of the employees.

(e)   That the Board of Managing Trustees are empowered to file suits on behalf of the Trust and also be compound or settle any legal proceedings taken against or taken on behalf of the Trust at any time.

(f)    That the Board of Managing Trustees are empowered to appoint legal advisor, Charted Accountants or other advisers  as may be found convenient from time to time.

(g)   That the Board of Managing Trustees are free to invest all money which shall require investment in any manner as they think it proper.

(h)   That the Board of Managing Trustee shall have the power to borrow funds for the Trust from Bankers or from other with or without security.

(i)    The Board of Managing Trustees are empowered to open Bank Account/s for and behalf of the Trust and in the name of the Trust. The Secretary of the Board of Managing Trustees and the District Governor who is also a Trustee, shall operate jointly and/or close any account/s of the Trust with any Bank or Banker and may sign and endorse Cheques and withdraw interest on any security or any other investment made in the said fund and to give receipt release and discharge of the same.

(j)    That the Accounts shall be maintained by the Board of Managing Trustees and the Secretary of the Managing Trustees shall be responsible to prepare the Annual Accounts and shall arrange for getting them these audited by duly qualified Charted Auditor. The Auditor for the Trust shall be appointed by the Board of Managing Trustees who shall fix his remuneration.

(k)   That the accounting year of the Trust shall be the Lionistic Year i.e. year starting from July 1st and ending on 30th June of the succeeding calendar year.

(l)    The Board of Managing Trustee shall be responsible to render audited accounts to the Board of Trustee within two months after the end of the 31st March of every year. The Board of Trustees and the decision taken by board of Trustee shall be binding on Board of Managing Trustee.

(m)  That the Management expenses of the Trust shall be reimbursed from the District Administrative Fund.

M E E T I N G

9. a)  All the Meetings of the Board of Managing Trustees/Board of Trustee will be held at such places and time as the Managing Trustees/Board of Trustees may from time to time decide, respectively in their respective capacity.

b)  Notice of the Meeting of the Board of Managing Trustees and the Board of Trustees and all other communication may be sent to the respective Trustees through their respective Electronic contact Addresses by email and message through Mobile or if any other new Hi-tech media of communication from time to time.

c)     The quorum shall be 5 Trustees in all the Meetings of the Board of Trustees and 4 Trustees, in all the meetings of the Board of the Managing Trustees.

d)    The District Governor/Chairman shall by a notice in email & message through mobile convene a meeting of the Board of Managing Trustees/Board of Trustees respectively.

e)     The Chairman of the Board of Trustees as well as Managing Trustees respectively shall upon a requisition in writing signed 5 of the Trustees specifying the object for which the meeting is to be convened, convence a meeting of the Board of Managing Trustee or Board of Trustees as the case may be.

 If the Chairman fails to call such a meeting within a fortnight from the date of service of such requisition, the Trustees after making such requisition may themselves convene a meeting of the Board of Trustee within a month thereafter but no business other than what is specified in the requisition shall be transacted at such meeting.

f)      Seven days notice shall be given for any meeting of the Trustees. In case of emergency in the opinion of the District Governor, Chairman, a meeting may be held giving 48 hours’ notice. Notice shall specify the date, hour, place and agenda of the meeting.

g)     The Managing Trustees shall hold at least 3 meetings of the Board of Managing Trustee in a given Lionistic Year and Board of Trustees shall meet at least once in a Lionistic year.

h)    The Chairman of the Trust will preside over all the meetings of the Trust. In the absence of the Chairman, the Trustees present will choose one from among them to preside at such meeting.

i)      Every Trustee shall have one vote in any meeting and the decision of the Board in either case shall be by majority. In case of equality of votes, the chairman of the Meeting shall have a second casting of vote.

j)      Any resolution in writing circulated amongst all the Trustees present in India and passed by a Majority of three fourth of such Trustees shall be as valid and effectual as it has been passed at a meeting of the Trustees duly convened. A copy of such resolution after being passed shall be circulated to all the Trustees.

k)    A minute book and books of accounts shall be kept at the office of the Chairman of the Trust for the time being or with such Trustee or Trustees as the Board of Trustees may time to time decide wherein shall be recorded the proceeding of the meeting/meetings of the Trustees and it shall be opened to the inspection of the Trustees.

l)      Resolution passed and entered in the minute book any matter relating to the Trust shall be conclusive evidence of the facts and matters duly noted herein.

m)   All the Trustees shall be bound by the decision by the decision of the Board of Trustees whether in a meeting or by a circular, resolution and such decision shall be deemed to be the decision of each of the trustees severally and jointly.

TRUSTEES OFFICE AND VESTING OF PROPERTY

10. On a new Managing Trustees being formed/appointed, the Trust property shall vest in the Trustees for the time being and they will be entitled to carry out all the duties and functions of the Trust as a Trustee and it shall not be necessary to make or execute any formal transfer of assets in his favour.

F U N D S

11. The funds of the Trust shall be raised by :

(a)   Annual Individual Contribution of Lion Members towards the fund the rate being fixed by the District Cabinet of Lions Clubs International, District322 C2 from time to time. As per the decision of 2nd Cabinet Meeting held at Sambalpur on 26th of October,2013 Life Membership Contribution is fixed Rs.5,000.00.

(b)   Voluntary Annual Contribution/ Life Membership Contribution / Trustee Contribution / Heritage Membership Contribution may be determined by the Trust from time to time towards the Corpus Fund of the Trust.

(c)   Donation, Endowment, Gifts, Trusts, Grants, assistance or any other money received either on specified or on general terms from Lions Clubs, Lioness Club, Leo Clubs, Lioness, Leos, member of Lion families, friends, Sympathizers, Governments, Association, other Lion District, LCIF, Lions Club International and any other Voluntary service organization, towards Corpus as well as for day-to-day expenses, contribution paid to other Lions Club/Clubs for fulfillment of the objects.

(d)   Any other method as may be determined by the Board.

(e)   All the contributions received from any source in shape of cash or levy must be first deposited in the Bank account of the Trust if money collected in District account then it should be transferred to Trust account immediately on receipt of such contributions.

(f)    The Trust account shall be operated by any of the three signatories i.e. Chairman & two P.D.G from the Trustees.

ADMINISTRATION OF LCIF SPONSORED PROJECTS OF THE CLUBS

12. As per the Rules of the LCIF the District Governor or his representative shall be the Administrator of the Project till the Project work is completed. The Chairman of the Trust shall be deemed to be the authorized representative of the District Governor in this regard.
